All wholesale prices are exclusive of VAT, in EUR. Companions ship as 6-unit colli (min 1 colli/SKU). Bedding ships as single units (min 5 units/SKU).

This Retail Reseller Agreement ("Agreement") is entered into and effective as of [Today's date] by and between:
Supplier appoints Reseller as a non-exclusive authorized retail reseller of Brease branded products in [Country]. This Agreement does not grant distribution rights. Supplier reserves the right to sell directly and appoint additional resellers.
Reseller may sell exclusively through its physical store at [Physical store address], and its official webshop [Webshop URL]. Sales via third-party marketplaces, additional domains, wholesale redistribution, exports, or dropshipping are strictly prohibited. Violation constitutes material breach.
Authorized territory is [Country] only. Cross-border resale or gray-market diversion is prohibited.
Products are purchased at agreed wholesale prices. Supplier may issue Recommended Retail Pricing and implement a MAP policy in compliance with applicable competition law. Brand-damaging discount campaigns are prohibited.
All Brease trademarks, product designs, packaging, and materials remain Supplier property. Reseller receives a limited, revocable license solely for resale purposes.
Products must be presented according to Brease brand guidelines. Unapproved health or therapeutic claims are prohibited.
Orders must be confirmed in writing. Payment terms are agreed separately. Late payment may result in suspension of supply. Risk transfers upon delivery to carrier.
Reseller handles customer service in [Country] and may not extend warranties beyond Supplier policy.
All commercial terms and pricing are confidential and survive termination for five (5) years.
Agreement runs indefinitely from Effective Date. Either Party may terminate with 30 days notice. Supplier may terminate immediately for material breach including unauthorized sales channels or IP misuse.
This Agreement is governed by Danish law. Disputes shall be settled in the courts of Denmark.
This Agreement constitutes the full understanding between the Parties and may only be amended in writing signed by both Parties.
By signing, you confirm you are authorized to enter this Agreement on behalf of the Reseller and accept the terms above.
